This Software License Agreement (“Agreement”) is a legally binding agreement between the purchaser (“Licensee”) and KDarsh Digital Solution, an individual digital business operating from Assam, India (“Licensor”), governing the use of all software products provided through kdarsh.com.
By purchasing, downloading, installing, or using any software product provided by KDarsh Digital Solution, the Licensee agrees to be bound by the terms of this Agreement.
1. Grant of License
Upon successful payment, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, non-sublicensable license to install and use the purchased software on a single authorized domain only.
This license permits lifetime usage on the approved domain, subject to compliance with this Agreement. Ownership of the software, source code, structure, logic, and all intellectual property rights remains exclusively with KDarsh Digital Solution.
2. Single Domain Usage Policy
Each license permits installation and operation of the software on one primary domain only.
Use on additional domains, subdomains, staging environments, testing servers, local servers, or multiple production servers is strictly prohibited unless explicitly authorized in writing.
If the Licensee changes their domain, a one-time domain transfer may be permitted upon request. After this transfer is completed, no further domain changes will be allowed under the same license.
Any attempt to bypass domain restrictions or use the software beyond the permitted scope constitutes a material breach of this Agreement.
3. License Key Enforcement
All software products are protected by a license key activation system.
The Licensee must activate the software using a valid license key provided after purchase. Tampering with, modifying, bypassing, disabling, or reverse engineering the license validation mechanism is strictly prohibited.
The Licensor reserves the right to suspend or deactivate license keys if misuse, unauthorized distribution, chargeback, or violation of this Agreement is detected.
4. Source Code and Modification Rights
The Licensee receives access to the software source code for operational use only.
The Licensee is permitted to modify the code strictly for internal use on the licensed domain. However, modification rights do not grant ownership or redistribution rights.
The Licensee may hire a developer to customize the software for their own licensed installation. However, the software or any modified version of it may not be resold, redistributed, sublicensed, shared, or offered commercially in any form.
5. Prohibited Activities
The Licensee shall not:
- Resell the software in original or modified form
- Share, distribute, or transfer the source code to third parties
- Upload the software to public repositories or marketplaces
- Offer the software as part of a competing commercial product
- Remove, alter, or obscure copyright notices
- Remove or modify the mandatory “Powered by KDarsh” branding
- Attempt to reverse engineer or replicate licensing mechanisms
Any such action shall be treated as a serious violation and may result in immediate license termination and legal action.
6. Branding Requirement
All software installations must retain the “Powered by KDarsh” or equivalent branding notice as provided within the software.
Removal, concealment, or modification of branding elements is strictly prohibited unless expressly authorized in writing by KDarsh Digital Solution.
7. Support and Maintenance
Technical support, installation assistance, updates, and maintenance services are chargeable and provided only to customers who purchase an active Annual Maintenance Contract (AMC).
Without an active AMC:
- No support obligation exists
- No update entitlement exists
Minor updates and bug fixes may be made available at the discretion of the Licensor but are not guaranteed unless covered under AMC.
8. No Refund Policy
All software sales are final. Due to the digital nature of the product, no refunds will be issued once the license key is generated or the product is delivered.
Any attempt to initiate a chargeback or payment dispute after receiving the software will result in immediate license suspension and possible legal proceedings.
9. Suspension and Termination
The Licensor reserves the right to suspend or permanently terminate a license without prior notice if the Licensee:
- Violates any clause of this Agreement
- Engages in unauthorized distribution
- Initiates fraudulent chargebacks
- Attempts to bypass license restrictions
- Uses the software for unlawful purposes
Upon termination, the Licensee must immediately cease all use of the software and remove it from all servers.
10. Intellectual Property Protection
All rights, title, and interest in and to the software remain the exclusive property of KDarsh Digital Solution.
This Agreement does not transfer ownership of intellectual property. The Licensee is granted usage rights only under the conditions specified herein.
11. Limitation of Liability
The software is provided on an “as-is” basis without warranties of uninterrupted performance or universal compatibility.
KDarsh Digital Solution shall not be liable for any indirect, incidental, special, consequential, or business damages including loss of revenue, loss of data, server downtime, or operational disruption arising from use or inability to use the software.
12. Indemnification
The Licensee agrees to indemnify and hold harmless KDarsh Digital Solution from any claims, liabilities, damages, or legal costs arising from misuse of the software or violation of this Agreement.
13. Governing Law and Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of India.
Any disputes arising from this Agreement shall fall under the exclusive jurisdiction of courts located in Assam, India.
14. Amendments
KDarsh Digital Solution reserves the right to modify this Agreement at any time. Updated versions will be published on the official website and shall take effect immediately upon publication.
